Payments
All fees are payable as per the terms outlined in invoices or agreements. Delayed payments may result in project pauses or termination.
Intellectual Property
All content, designs, code, and materials created by Groot Solutions remain our property until full payment is received.
Clients retain ownership of final deliverables upon payment, except for proprietary tools, templates, or plugins used in development.
Tracking Setup & Analytics:
- Any tracking setup, analytics configuration, or conversion measurement system implemented by Groot Solutions is considered proprietary intellectual property.
- Such configurations, including but not limited to Google Tag Manager, API integrations, and data pipelines, will not be shared or transferred outside of Groot Solutions unless explicitly stated in the agreement.
Access & Administration Responsibility
Groot Solutions is responsible for maintaining, securing, and managing client websites, campaigns, and related digital assets only while administrative access is exclusively retained by Groot Solutions.
If a client requests or obtains administrative access to their accounts (e.g., hosting, website backend, ad accounts) and subsequently shares these credentials with third parties, Groot Solutions will not be liable for any:
- Data loss, account suspension, or security breaches.
- Technical issues or performance degradation caused by external interference.
To ensure continued security and performance, clients must obtain written consent from Groot Solutions before involving any third party in the management of their digital assets.
Guaranteed Results & Performance Conditions
Any guarantees or performance commitments offered by Groot Solutions are strictly conditional.
They remain valid only if the client adheres to Groot Solutions’ prescribed protocols, recommendations, and timelines, which include but are not limited to:
- Maintaining recommended ad budgets and durations.
- Proper implementation of tracking and reporting systems.
- Timely and consistent follow-up on leads or inquiries generated through campaigns.
Failure to comply with these conditions may result in voiding any performance-related guarantees.
Third-Party Tools & Platforms
We use third-party services such as Google Ads, Meta Ads, and hosting providers. Groot Solutions is not responsible for downtime, performance issues, or policy changes of these external platforms.
Limitation of Liability
While we strive for accuracy and performance, Groot Solutions shall not be held liable for:
- Indirect, incidental, or consequential damages.
- Loss of business, data, or revenue resulting from the use of our services.
Revisions & Modifications
We reserve the right to modify these terms at any time. Updated terms will be reflected on this page with a revised “Last Updated” date.
Governing Law
These terms are governed by the laws of India, and any disputes will be handled under the jurisdiction of Hyderabad, Telangana.
